1. Price（價位）:

3. Payment Term（付款條件）:
3.1. SBLC confirmed or issued by top twenty five (25) Western European banks with S&P rating “AA” or better for the first shipment .The SBLC is for initiating the first shipment and the payment for the first shipment is made by Telex Transfer within fourteen (14) days from the date of arrival and inspection. Furthermore, the remaining shipments from first to eleventh are paid by Telex Transfer upon arrival and the CIQ inspection.
由世界排名25的銀行開出第一船的備用信用證（如附件A）；備用信用證保證第一次出貨，貨到14天內由CIQ檢驗合格TT付款；第一次出貨至第十一次出貨檢驗合格TT付款；最後一次備用信用證付款。
3.2. DOCUMENTS TO BE PRESENTED FOR PAYMENT提供議付的單證
The Seller shall present the following documents to the Seller’s nominated negotiating bank for payment:
賣方必須提交下列單證給賣方指定的議付銀行, 憑以收取貨款。
3.2.1 Signed commercial Invoice indicating contract number, and the buyer’s BG/SBLC number, quantity and the total amount of value of the delivered goods and name of the carrying vessel, description of goods, gross/net weight, three (3) original and three (3) copies;
經賣方簽署的﹑列明合同號﹑買方銀行保函/備用信用證號﹑交貨數量和總金額﹑貨物名稱﹑毛淨重的商業發票3份正本﹑3份副本。
3.2.2 Full set (3 originals and 3 copies) of clean on board bill of lading: made out “to order” and blank endorsed, notify party to be advised by the Buyer, and marked “freight prepaid”, signed by master and showing vessel’s stamp and total actual gross/net weight shipped, the contract number, the Buyer’s BG /SBLC number, vessel name, the goods description, and container’s numbers; non-vessel operations common carrier (NVOCC) B/L is not acceptable by the Buyer.
全套（正本三份，副本三份）“已裝船”的清潔提單, 製成空白擡頭
﹑空白背書, 注明“運費已付＂。按買方要求指定“通知方＂, 內容包
括合同號﹑買方銀行保函/備用信用證號﹑載貨船名﹑貨物描述﹑集裝相

共承運人提單。
3.2.3 Certificate of quality: 2 originals and 2 copies issued by SGS at loading port.
品質檢驗證書：正本二份, 副本二份, 由SGS機構在裝貨港出具。
3.2.4 Certificate of quantity (weight): 2 originals and 2 copies issued by SGS at loading port..
數量（重量）鑒定證書：正本二份, 副本二份, 由SGS 機構在裝貨港出具。
3.2.5 Certificate of origin: 2 originals and 2 copies issued by chamber of commerce or
the related legal organization. And a certificate of non-wooden package issued by the organization of the country of origin.
由裝運國工商會/法定機構簽發的産地證書, 正本二份﹑副本二份, 並由産地國法定機構開出的無木材包裝證明。
3.2.6 Performance Bond Guarantee (PBG) 履約保證金:
Upon signing this Contract by both parties, Buyer’s bank shall deliver electronic copy of the Standby Letter of Credit (SBLC) (See Exhibition A) via SWIFT MT760 for the first shipment acceptable by Seller in 5 local banking days. Upon receipt and authentication of the SWIFT MT760 message, Seller shall provide 2% Performance Guarantee for covering the first shipment in 5 banking days before the hard copy of the Standby Letter of Credit (SBLC) is sent to Seller by mail carrier. Then, shipment starts.
買賣雙方簽約後；買方要在 5 個銀行工作日內電傳第一船賣方接受的備用信用證（如附件A所示）的 SWIFT MT760 副本給賣方；賣方在收到買方電傳的證實有效的 SWIFT MT760 後；賣方要在 5 個銀行工作日內回開2%的履約保證金；然後船載運輸正式開始。
4. PENALTY罰款條款:
4.1 Should the Seller fails to effect on time as stipulated in this contract owing to causes other than force majeure as provided in clause force majeure of this contract, the Seller shall lose his Performance Bond (PB). In this case the buyer has the right to cancel this contract but may agree to give the Seller a grace period of ten (10) days for delayed shipment. The penalty shall be charged at the rate of 0.2% of total BG value for everyday if the shipment is delayed, or the delayed issuance of proof of product, and the performance bond. For the first shipment, the late shipment penalty will be calculated from the seventy six (76) day after the receipt of SBLC by the Seller. For the first shipment, the late shipment penalty will be calculated from the thirty – second day after the delivery of the previous shipment shipped. The total value of penalty shall not exceed 2% of the total value of the goods.
除本合同規定的不可抗力的原因以外, 賣方沒能在合同規定的時間內及時交貨,賣方將失去履約保證金。在此情況下買方有權撤銷合同, 但可以給賣方10天延遲交貨的協商期由。於延遲交貨、延遲出俱供貨能力証明及交付履約保證金, 賣方必須每天按買方備用信用證金額的千分之二向買方支付罰金。延遲交貨的罰金, 第一批在賣方收到備用信用證的第76日開始計算, 第二批開始由上一批發貨後第31日開始計算。總罰金不超過貨物總金額的百分之二。
4.2 Should the buyer fail to issue bank guarantee BG/SBLC in time as stipulated in this contract owing to causes other than force majeure as provided in clause force majeure of this contract, the Seller has the right to cancel this contract but may agree to give the Buyer a grace period of ten (10) days. A delayed BG Penalty shall be charged at the rate of 0.2% of total BG value for everyday the BG is delayed. The penalty shall be calculated from the first day after the grace period. The total value of penalty shall not exceed 2% of the total value of the goods.
除本合同規定的不可抗力的原因以外, 買方沒能在合同規定的期限內及時開出備用信用證, 賣方有權撤銷合同, 但給買方不少於10個銀行工作日的遲開備用信用證協商期。 由於遲開備用信用證, 買方必須每天按備用信用證金額的千分之二向賣方支付罰金。 罰金按協商期後的第一天開始起算, 總罰金不超過貨物總金額的百分之二。

13. Inspection of the Goods by Buyers:
The Buyer shall be entitled to inspect goods sold and documents at time of container stuffing with SGS inspector at the nominated port U. S. West Coast.

14. Retention of Title (Art.7):
The Seller’s bank shall retain the Full Ownership Clear Title of these goods sold until the goods are finally exchanged for liquid cash US Dollars and or as per Sales/Purchase Agreement Contract Terms.

16. INSURANCE（保險）:
Marine insurance for all risks or otherwise specific in accordance with Institute Cargo Clause (A) including revised insolvency exclusion clauses, S.R,C.C War Risk Clauses, for the amount of 110% of the full shipped value of the Copper Cathode.

17. TAXES AND DUTIES（稅金與責任）:
All taxes and duties outside _____________ shall be for Seller’s account.
All taxes and duties inside ______________ shall be for Buyer’s account.
18. Force Majeure（不可抗力:
The force majeure clause of the ICC standard shall apply to this contract. Seller shall notify buyer immediately by fax or e-mail within 15 days from the occurrence of force majeure circumstances with a certificate of the occurrence issued by the local government or authorities of chamber of commerce. the Seller will be deemed breach of contract.
In the event of force majeure circumstances causes a continuing and delaying of the shipment beyond four (4) weeks from the contracted delivery date, the buyer shall have the option to cancel the contract of shipment.
國際商會標準關於不可抗力的條款適用于本合同。在不可抗力事件發生之時起計15天內，賣方應通過傳真、電郵等方式通知買方，並出具當地政府或商會發佈的事故證明，否則須負違約責任。在不可抗力事件持續及拖延超過四周的情況下，買方有權撤銷本合同。
19. ENTIRE AGREEMENT（整體協議）:
This Agreement contains the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings between the parties in connection with it.
這個協議包含整體協議在買賣雙方之間；談到它的事項和代替所有預先的協議和理解；在買賣雙方之間於它相聯。
20. ARBITRATION（仲裁）:
All disputes in connection with this Contract or the execution thereof shall be settled through friendly negotiation. In case no settlement can be reached through negotiations, the case should then be submitted for arbitration to China International Economic and Trade Arbitration Commission which rules are deemed to be incorporated by reference into this Clause, and with Chinese law to apply. The decision of the Arbitration Commission shall be final and binding upon every parties; neither party shall seek recourse to neither a law court nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party.
所有爭議各方通過友好協商解決，如協商不成，提交中國國際經濟貿易仲裁委員會仲裁，按照該委員會的仲裁規則進行仲裁，適用法律為中華人民共和國法律。仲裁委員會的決定是終局性的, 對各方具有約束力，各方既不能訴諸法庭，也不能向其他機構要求修改決定，仲裁費由敗訴的一方承擔。

16. INSURANCE（保險）:
Marine insurance for all risks or otherwise specific in accordance with Institute Cargo Clause (A) including revised insolvency exclusion clauses, S.R,C.C War Risk Clauses, for the amount of 110% of the full shipped value of the Copper Cathode.

17. TAXES AND DUTIES（稅金與責任）:
All taxes and duties outside _____________ shall be for Seller’s account.

18. Force Majeure（不可抗力:
The force majeure clause of the ICC standard shall apply to this contract. Seller shall notify buyer immediately by fax or e-mail within 15 days from the occurrence of force majeure circumstances with a certificate of the occurrence issued by the local government or authorities of chamber of commerce. the Seller will be deemed breach of contract.
In the event of force majeure circumstances causes a continuing and delaying of the shipment beyond four (4) weeks from the contracted delivery date, the buyer shall have the option to cancel the contract of shipment.
國際商會標準關於不可抗力的條款適用于本合同。在不可抗力事件發生之時起計15天內，賣方應通過傳真、電郵等方式通知買方，並出具當地政府或商會發佈的事故證明，否則須負違約責任。在不可抗力事件持續及拖延超過四周的情況下，買方有權撤銷本合同。
19. ENTIRE AGREEMENT（整體協議）:
This Agreement contains the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings between the parties in connection with it.
這個協議包含整體協議在買賣雙方之間；談到它的事項和代替所有預先的協議和理解；在買賣雙方之間於它相聯。
20. ARBITRATION（仲裁）:
All disputes in connection with this Contract or the execution thereof shall be settled through friendly negotiation. In case no settlement can be reached through negotiations, the case should then be submitted for arbitration to China International Economic and Trade Arbitration Commission which rules are deemed to be incorporated by reference into this Clause, and with Chinese law to apply. The decision of the Arbitration Commission shall be final and binding upon every parties; neither party shall seek recourse to neither a law court nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party.
所有爭議各方通過友好協商解決，如協商不成，提交中國國際經濟貿易仲裁委員會仲裁，按照該委員會的仲裁規則進行仲裁，適用法律為中華人民共和國法律。仲裁委員會的決定是終局性的, 對各方具有約束力，各方既不能訴諸法庭，也不能向其他機構要求修改決定，仲裁費由敗訴的一方承擔。
